Agreement Overview
This Agreement is entered into between you or the entity you represent (hereinafter referred to as “You” or “Your”) and Hontrel Technologies Private Limited (hereinafter referred to as “Hontrel”), governing your use of Hontrel’s suite of online business productivity and collaboration software.
Structure of the Agreement
The Agreement consists of the General Terms and the Service-Specific Terms, if applicable, that govern the use of individual services. In the event of a conflict between the General Terms and the Service-Specific Terms, the latter will take precedence.
Acceptance of the Agreement
You must be of legal age to enter into a binding agreement to accept these terms. If you do not agree to the General Terms, you are advised not to use any of our services. Similarly, if you accept the General Terms but disagree with any specific Service-Specific Terms, you should refrain from using the corresponding service. Acceptance of this Agreement may be indicated by checking a checkbox, clicking a button affirming your acceptance, or by using the services provided.
Description of Services
Hontrel offers cloud-based software and applications for business productivity and collaboration, including associated offline and mobile applications (hereinafter referred to as “Service” or “Services”). These services are made available for personal or business use or for internal purposes within the organization you represent. You may connect to the Services through any supported Internet browser, and it is your responsibility to secure Internet access and the necessary equipment to use the Services effectively. With your user account, you have the ability to create and edit content, and you may choose to publish and share such content as part of your use of the Services.
Beta Service
Hontrel may provide certain Services as closed or open beta offerings (“Beta Service” or “Beta Services”) for testing and evaluation purposes. By participating, you acknowledge that Hontrel retains sole authority and discretion to determine the duration of the testing and evaluation period. Hontrel will also be the sole judge of the success of the testing phase and reserves the right to decide whether to transition the Beta Services to commercial offerings. Participation in a Beta Service does not obligate you to purchase a subscription to any paid Service. Hontrel retains the right to fully or partially discontinue any Beta Service, temporarily or permanently, at any time and without prior notice. You agree that Hontrel shall not be held liable to you or any third party for any harm or loss arising from the modification, suspension, or discontinuance of a Beta Service.
Free Trial
When you register for a free trial of one or more Services, Hontrel will provide access to the applicable Services free of charge until the earlier of (i) the end of the stated trial period (unless terminated earlier by you), (ii) the commencement of a paid subscription, or (iii) termination by Hontrel at its discretion. Data entered into the Services and customizations made during the trial period will be permanently lost unless you (i) purchase a paid subscription plan for the account, (ii) purchase relevant Service upgrades, or (iii) export the data before the trial ends. Services provided during the trial period are offered on an “as-is” basis without warranties, support, or liability, to the extent permitted by law.
User Sign-Up Obligations
To access or use the Services, you must create a user account by providing accurate and complete information during the sign-up process. If you are registering on behalf of an organization for corporate use, it is recommended that you and other users from your organization use corporate email addresses and provide accurate corporate contact details. You agree to maintain and update the information you provide to ensure its accuracy and completeness. If you provide information that is false, outdated, or incomplete, or if Hontrel suspects such inaccuracies, your account may be terminated, and future access to the Services may be denied.
Restrictions on Use
You agree to use the Services in compliance with all applicable terms and conditions. You must not (i) transfer or share the Services with third parties without prior authorization; (ii) provide services derived from the Services without written permission; (iii) share user licenses among multiple individuals, except for reassignment to a new user; (iv) attempt to reverse engineer, disassemble, or decompile the Services unless permitted by law; (v) use third-party links or services without adhering to their terms and conditions; (vi) use third-party intellectual property, such as logos or trademarks, without permission; (vii) attempt unauthorized access to Hontrel systems; (viii) overload, damage, or harm Hontrel resources; (ix) transmit malicious software through the Services; (x) disrupt the integrity, security, or performance of the Services; (xi) mislead others by creating false identities; (xii) upload, publish, or share information that you do not have the right to use, including personal or confidential data without consent; (xiii) use the Services to transmit false, misleading, or harassing content for personal or financial gain; (xiv) violate any applicable laws; (xv) use the Services for benchmarking or competitive purposes; or (xvi) remove or obscure proprietary notices within the Services.
Spamming and Illegal Activities
As a user, you are solely responsible for the content you transmit through the Services. You agree not to use the Services for any unlawful purposes, including but not limited to transmitting defamatory, harassing, invasive, harmful, obscene, or objectionable material. This includes material that offends religious sentiments, promotes racism, or contains viruses or malicious code. The use of the Services for activities like spamming, junk mail, chain letters, phishing, or unauthorized mass email distribution is strictly prohibited. Hontrel reserves the right to terminate your access to the Services if there is reasonable evidence of illegal or unauthorized activity.
Third-Party Applications
Hontrel Services may integrate with various third-party applications (“Third-Party Applications”). Accessing or using these applications requires you to accept their respective terms of service and privacy policies (“Third-Party Terms”). It is your responsibility to review and understand these terms before use. Hontrel is not liable for issues arising from Third-Party Applications. While Hontrel strives to provide notice, it reserves the right to suspend, restrict, or remove access to any Third-Party Application at its sole discretion and without liability for losses, including profits, data, or goodwill.
Fees and Payments
The Services are offered under subscription plans of varying durations. Payments for subscriptions of less than a year must be made via credit card. Subscriptions automatically renew at the end of each period unless you downgrade to a free plan or notify us at least seven days before the renewal date. Renewal fees will be charged to the last credit card used, although you can update payment details. Hontrel reserves the right to change pricing or introduce fees for previously free services, with changes effective at the end of the current billing cycle.
Taxes, including GST, VAT, or similar charges, may apply based on local laws. Hontrel will invoice you for applicable taxes, which must be paid in addition to subscription fees. Invoices will conform to legal requirements to enable tax credits where applicable.
Organization Accounts and Administrators
When creating an account for your organization, you can designate one or more administrators to configure the Services and manage end users. If a third party creates and manages your organization account, ensure you have a clear agreement regarding their roles and restrictions as administrators.
You are responsible for safeguarding your organization account, including the password’s confidentiality, appointing competent administrators, and ensuring compliance with this Agreement. In case of loss of control over administrator accounts, you must establish a recovery process acceptable to Hontrel. If no process is specified, Hontrel may transfer control to an individual who provides satisfactory proof of authorization. Hontrel shall not be held liable for any actions taken in good faith during account recovery.
Personal Information and Privacy
The personal information you provide while using Hontrel’s services is governed by the Hontrel Privacy Policy. By using our services, you consent to the terms of the Privacy Policy. You are responsible for keeping your username, password, and other sensitive details confidential. Any unauthorized use of your account must be reported immediately by emailing us at info@hontrel.com or calling the numbers listed on Hontrel’s About Us page. We are not liable for any damages or losses caused by unauthorized access or misuse of your account.
Communications from Hontrel
As part of the service, you may receive communications such as service updates, administrative notices, and newsletters. These communications are integral to using the services. However, you can opt out of newsletters while still receiving critical service and administrative updates.
Complaints
If a complaint regarding your use of our services is received, we will forward it to the primary email address linked to your account. You are required to respond to the complainant within 10 days and include Hontrel in your response. Failure to respond may result in your contact details being shared with the complainant to facilitate further action. Your non-response will be treated as consent to this disclosure.
Inactive User Accounts
Hontrel reserves the right to terminate unpaid user accounts that remain inactive for 120 consecutive days. Prior notice will be provided, allowing you to back up your data. If your account spans multiple services, inactivity will be assessed individually for each service. Accounts with at least one active user will not be considered inactive.
Data Ownership
You retain ownership of all content created or stored using our services. Hontrel will not use, reproduce, or distribute your content for commercial purposes without explicit permission. By using our services, you grant us limited rights to access, store, and manage your content solely to provide the requested services.
Hosting Location
The cloud facility serving your account is based on your region/country during sign-up, as determined by your IP address. If discrepancies are identified, Hontrel may relocate your account or require you to migrate it. Local copies of your data may also be maintained if there is a Hontrel office in your region. Use of anonymized or masked IP addresses during sign-up is prohibited.
User-Generated Content
You are responsible for any content you create or publish through our services, including ensuring compliance with copyright laws and obtaining necessary permissions. Publicly shared content may be accessible and indexed online. Hontrel reserves the right to remove or restrict access to content flagged for legal or rights violations.
Sample Files and Applications
Hontrel may provide sample files or applications for illustrative purposes. These samples contain random data and are provided “as-is” without any warranties regarding their accuracy or usability.
Trademarks
The names “Hontrel,” its logo, and individual service names are trademarks of Hontrel Technologies Private Limited. You may not use these trademarks without prior authorization.
Disclaimer of Warranties
Services are provided “as-is” and “as-available” without any warranties, express or implied, including those of merchantability or fitness for a specific purpose. Hontrel does not guarantee uninterrupted or error-free services. Use of any materials obtained through our services is at your own risk.
Limitation of Liability
Hontrel will not be liable for indirect, incidental, or consequential damages, including loss of business, data, or profits. The maximum liability for any claim will not exceed $1,000 or the total fees paid by you in the 12 months prior to the incident, whichever is greater.
Indemnification
You agree to indemnify and hold harmless Hontrel, its affiliates, employees, and agents from any claims or damages arising from your use of our services in violation of this agreement, applicable laws, or third-party rights.
Governing Law and Jurisdiction
The governing law and jurisdiction for disputes depend on your billing address (for paid accounts) or your domicile (for unpaid accounts). Disputes will be resolved under the jurisdiction of Indian courts.
Suspension and Termination
We may suspend or terminate your account for suspected illegal activities, inactivity, or violations of this agreement. Suspensions can be appealed within 30 days. Terminated accounts will result in the deletion of all associated data. Users may also terminate their accounts at any time. In cases of termination due to Hontrel’s breach of this agreement, prorated refunds will be issued.
Modification of Terms
Hontrel reserves the right to amend these terms. Significant changes will be communicated at least 30 days in advance. If you do not agree with the changes, you may terminate your account and request a prorated refund for any prepaid fees. Continued use of the services constitutes acceptance of the revised terms.
